Scope 1.1 These General Terms and Conditions (hereinafter referred to as ‘GTC’) of NOVIREL BioTech GmbH and NUTRIREL (hereinafter referred to as ‘Seller’) apply to all contracts for the delivery of goods that a consumer or entrepreneur (hereinafter referred to as ‘Customer’) concludes with the Seller with regard to the goods displayed by the Seller in its online shop. The inclusion of the Customer's own terms and conditions is hereby rejected, unless otherwise agreed.

1.2 These General Terms and Conditions apply accordingly to contracts for the delivery of vouchers, unless otherwise specified.

1.3 A consumer within the meaning of these General Terms and Conditions is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor related to their independent professional or business activity.

1.4 An entrepreneur within the meaning of these General Terms and Conditions is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.

1.5 Depending on the seller's product description, the subject matter of the contract may be either the purchase of goods by means of a one-time delivery or the purchase of goods by means of a continuous delivery (hereinafter referred to as ‘subscription contract’). In the case of a subscription contract, the seller undertakes to deliver the contractually agreed goods to the customer for the duration of the agreed contract period at the contractually agreed intervals.

  1. Conclusion of contract 2.1 The product descriptions contained in the seller's online shop do not constitute binding offers, but serve to enable the customer to submit a binding offer.

2.2 The customer can submit the offer using the online order form integrated into the seller's online shop. After placing the selected goods in the virtual shopping basket and completing the electronic ordering process, the customer submits a legally binding contractual offer with regard to the goods contained in the shopping basket by clicking the button that concludes the ordering process.

2.3 The seller may accept the customer's offer within five days:

  • by sending the customer a written order confirmation or confirmation in text form (e-mail),
  • by delivering the ordered goods, whereby receipt of the goods by the customer is decisive, or
  • by requesting payment from the customer after the order has been placed.

2.4 The period for accepting the offer begins on the day after the offer is sent by the customer and ends after five days. If the seller does not accept the offer within this period, this shall be deemed a rejection.

  1. Right of withdrawal 3.1 Consumers are generally entitled to a right of withdrawal.

  1. Prices and payment terms 4.1 All prices quoted are total prices and include statutory value added tax. Any shipping costs incurred will be shown separately.

4.2 The accepted payment methods are listed in the seller's online shop.

4.3 If a payment method offered by PayPal or other payment service providers is selected, payment will be processed by the respective service provider.

  1. Delivery and shipping conditions 5.1 Goods shall be delivered by shipment to the delivery address specified by the customer.

5.2 If the seller incurs additional costs due to the provision of an incorrect delivery address or an incorrect recipient, these shall be borne by the customer.

  1. Contract term and termination for subscription contracts 6.1 Subscription contracts are concluded for the agreed term and can be terminated within the periods specified in the contract.
  2. Retention of title The delivered goods remain the property of the seller until full payment has been made.

  4. Liability The seller is fully liable for intent and gross negligence. In cases of slight negligence, the seller is only liable for essential contractual obligations.
  5. Redeeming promotional vouchers Promotional vouchers can only be redeemed under the specified conditions.
  6. Redeeming gift vouchers Gift vouchers can be redeemed in the seller's online shop.
  7. Applicable law The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
  8. Place of jurisdiction If the customer is a merchant, the place of jurisdiction shall be the registered office of the seller.
  9. Alternative dispute resolution The EU Commission provides a platform for online dispute resolution (ODR), which can be accessed at https://ec.europa.eu/consumers/odr/.
